2. Services Description

Forgeway Systems provides API strategy, integration engineering, developer portal implementation, API governance, platform reliability, and modernization consulting services for enterprise organizations. Our services are provided pursuant to separate statements of work or engagement agreements.

3. Eligibility

You must be at least 18 years old and have the authority to bind your organization to these Terms. By using our services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. User Responsibilities

When using our services, you agree to:

• Use our services only for lawful purposes

• Not interfere with or disrupt our services or servers

Deliverables created during client engagements are governed by the terms of the applicable statement of work or engagement agreement.

6. Confidentiality

We respect the confidentiality of your information and will treat all client information in accordance with our Privacy Policy and any applicable non-disclosure agreements. Confidential information includes technical data, business plans, customer lists, and other proprietary information disclosed during our engagement.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGEWAY SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from your use of our services shall not exceed the amount you paid us for the specific service giving rise to the claim, or $100, whichever is greater.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected. Specific service level agreements and warranties for client engagements are set forth in the applicable statement of work.

9. Indemnification

You agree to indemnify, defend, and hold harmless Forgeway Systems, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any breach of your representations and warranties.

10. Termination

We reserve the right to suspend or terminate your access to our services at any time, without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use our services will immediately cease.

Termination of client engagements is governed by the terms of the applicable statement of work or engagement agreement.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

12. Dispute Resolution

Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, the dispute shall be submitted to mediation before resorting to litigation. The prevailing party in any action to enforce these Terms shall be entitled to recover reasonable attorneys' fees and costs.

13. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forgeway Systems regarding your use of our website and services, and supersede all prior or contemporaneous communications and proposals, whether electronic or oral, between you and us.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent.

17. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
